Managing executive compensation in todays complex world requires that organizations design and structure their executive compensation programs in a way that is perceived as being fair and reasonable from the perspective of all stakeholders including executives, other employees, regulators, board members, institutional shareholders, independent advisors and the independent press.  In this working group, we will discuss components of executive pay (including base pay, annual incentives, performance plans and equity-based pay) and examine how pay and performance can be most effectively linked.  We will also explore how the various stakeholders interact in the decision-making process. We will discuss critical decisions made in the executive pay determination process and how organizations deal with the pressure applied by each of the constituent parties.  We will also review how best to comply with securities laws, tax regulations, accounting standards and corporate governance organizations without diluting the intention of the executive compensation programs

Objectives
  • Discuss existing and new components of executive pay and how to link to performance
  • Share the design and effectiveness of different types of executive incentives
  • Share challenges faced when dealing with various stakeholders in the structure and approval of executive compensation levels and design
  • Discuss how executive compensation drives behavior and influences strategies, decisions and actions
  • Uncover strategies the various parties to the decision process use to influence outcomes and promote their own priorities

The target audience for this session is senior HR leaders with responsibilities for executive compensation.

Prior to this session it will be helpful to review your proxy (CD&A) and any reports written by shareholder advocacy groups such as ISS and Glass Lewis.

This working session will run from 8:30 AM to 3:00 PM with a continental breakfast and a working lunch.  The session is free of charge to CAHRS partner firms, but participation is limited to no more than 25 attendees.

Cornell Discussion Leader:
Brian Dunn is a Lecturer in the Human Resource Studies Department and previously worked as an executive compensation consultant for 35 years at Towers Perrin, McLagan and Aon Hewitt.
